Le Groupe Fusions & Acquisitions / Droit des Sociétés / Capital Investissement dispose d'une large expérience en matière d’opérations complexes et sophistiquées tant sur le plan national qu’international aussi bien pour le compte des « mid-caps » que pour les grands groupes. Il est composé d’avocats français et étrangers qui bénéficient du soutien d’une équipe de paralegals (juristes en droit des sociétés). Rattachés à un Associé et en collaboration avec les avocats du Groupe, nos juristes/paralegal corporate assurent de manière autonome le suivi juridique d’un portefeuille clients.

Vos principales missions seront les suivantes:

Préparation des conseils et assemblées
Rédaction des procès-verbaux
Modification de capital
Constitution de sociétés
Changement de dirigeants
Transfert de siège social
Approbation des comptes annuels
Formalités administratives auprès des greffes et tribunaux de commerce

Vous pourrez également être amené(e) à assurer le support d'une équipe en Private Equity.(émission de valeurs mobilières composées, rédaction de documents complexes en droit des sociétés…)

Profil recherché:

De formation supérieure en droit, vous justifiez d’une expérience similaire d’au moins 5 ans.
Ce poste requiert un grand sens de l’organisation ainsi qu’un excellent relationnel. Vous maitrisez l'anglais tant à l’écrit qu’à l’oral ainsi que les outils bureautiques.
Votre sens du service et votre goût pour le travail en équipe sont des atouts dans cette fonction.

Poste

Le/la stagiaire sera fortement impliqué(e) dans l’activité et les dossiers du cabinet :

Valorisation d'actifs incorporels (marque, technologie, fonds de commerce), de fonds de commerce, de titres de sociétés, etc. dans le cadre de réorganisations d'entreprises, de test de dépréciation ou de contentieux fiscaux.
Participation à l’élaboration des politiques de prix de transfert de sociétés issues d’industries variées en prenant en considération leurs objectifs stratégiques :
- revue, analyse critique et simulations financières sur les politiques prix de transfert appliquées,
- recherches économiques et études de comparables visant à justifier les politiques de prix de transfert au sein des groupes multinationaux au moyen de bases de données,
- assistance à la rédaction de documentations prix de transfert (présentation de l'industrie, analyse fonctionnelle, sélection et application de la méthode de prix de transfert la plus appropriée, etc.).
Participation à l’élaboration de politiques financières intragroupes répondant aux objectifs et aux besoins financiers de nos clients tout en limitant leur risque fiscal :
- notation de crédit des filiales,
- détermination du taux d'intérêt de pleine concurrence, analyse de spread de taux,
- analyse de garanties explicites / implicites, etc.
Analyse de modèles opérationnels et de chaîne de création de valeur.
Assistance dans le cas d'un contrôle fiscal et négociation avec les administrations françaises et étrangères.
Participation à la gestion courante des problématiques des clients.
Valorisation de préjudice dans le cadre de contentieux

Il / Elle sera intégré(e) dans une équipe intervenant dans l’ensemble des domaines de la fiscalité internationale et des prix de transfert.

Profil recherché

Dans le cadre d'un CDI à pourvoir dès que possible vous serez rattaché(e) à la "Billing Manager" et serez en charge des missions suivantes :

Préparation de la facturation en collaboration avec l'associé et les collaborateurs
- Pour chaque dossier / affaire, éditer et analyser les documents préparatoires (heures et descriptifs des activités pour chaque avocat/consultant intervenu sur le dossier)

Role purpose

To manage a client revenue function in the London office. The client revenue function will coordinate assignments, budgeting, billing, e-billing, collecting, and reporting for local office and non-local offices' clients.

Main responsibilities

Influence Billing Partners/Matter Management Attorneys and local billing teams across all offices via regular communication to achieve agreed billing cycle deadlines
Ensure with assistance from the Pricing Team, compliance with agreed billing processes and procedures throughout the local and global billing community
Ensure matters fully reflect client requirements / maintain our clients' data in SAP
Ensure all WIP balances are addressed. Monthly WIP unless it is a project matter should be no older than 30 - 60 days
Communicate to the local billing community via regular meetings on client change and how this impacts them in their day-to-day roles
Ensure compliance with the relevant client fee deals and terms of engagement
Deliver decisive analysis and advice on billings, WIP, AR, and Client accounts as the finance expert for key client relationships
Keep schedules/WIP Tracker Reports up to date, to report on status as and when required
Attend regular internal meetings/calls with local and overseas billing teams (where necessary) to discuss lock-up and recommendations for action
Work closely with Revenue Team Leader and Revenue Manager to ensure the appropriate escalation of issues takes place
Spot-check invoices for accuracy and work closely with the Matter Management, Pricing Analyst, and eBilling Team on identifying and addressing the causes of inaccuracy
Work closely with other CSR with the same clients, to ensure the service provided is seamless
Present options and recommendations to the client teams on requests received, based on general know-how of SAP and the most efficient processes
Attend regular internal team meetings, to discuss issues of concerns and resolution, and share resolutions to issues / positive changes to existing processes
Management/delivery of bespoke analysis requested by the client teams and local office Finance Management at periodic intervals or on an ad-hoc basis. Re-visit them to see if they can be automated
Lead client meetings/calls in the areas of lock-up, ensuring the billing cycle is efficiently coordinated between our clients and the Firm
Create a network both internally and externally linking in contacts to maximize efficiency around the billing cycle and collections management
Be the first point of contact for the practice, business, the clients on all financial issues in London
Be accountable for the management of both paper and electronic billing for our clients and keep track /records of bills sent directly to the client/or passed by Fee Earners
Versed HMRC, Solicitors Regulatory Authority, and Firms Guidelines, to ensure compliance and accounting and reconciliation

Knowledge and Expertise

Precedents. Review, draft, develop and automate the Group's precedents and other legal content
Current awareness and commercial/industry know-how. Deeply understand clients' industries and businesses and use that knowledge to optimize opportunities for knowhow creation, current awareness updates including client alerts and connecting business and industry knowledge relating to the Group to broader Firm initiatives. Monitor and spot forward-looking Group issues and trends and translate their legal impact to clients and lawyers in a commercial way. Possess a fundamental understanding of the work performed by the Firm's other practice and industry groups in order to connect their work to the Group and vice versa. Enhance internal awareness of Group-specific issues and equip lawyers to talk about them irrespective of their practice group

Strategy, alignment and integration. Build and implement a comprehensive Knowledge Plan for the Group. Align the Group's Knowledge Plan with its business plan, the Firm's strategic framework, the Knowledge strategy and the Industry Groups' strategy. Create a single joint community among fee-earning lawyers, Knowledge Lawyers and other Knowledge and business professionals within the Group and across countries and regions. Emphasize and illustrate the cross-practice group nature and impact of Group knowhow

Function

The Knowledge function is a Firm-wide team of nearly 300 professionals, including Knowledge Lawyers, Information & Research professionals, and a variety of other functional specialists. The Knowledge function helps the Firm deliver better legal solutions by producing and providing easy access to high quality, relevant legal information for both lawyers and clients. The focus is on the following areas:

Content - creating, collecting and providing access to market-leading precedents, sample documents, practice notes, training materials and other knowhow for our lawyers and clients, reviewing and updating regularly, to ensure that the content is current and market-leading.
Systems - working with the Technology function to design, develop and build user-friendly and flexible platforms to store knowhow and deliver it intuitively to lawyers and clients, adopting common systems across all offices and practice/industry groups.
Culture - striving to establish Knowledge as a core part of every lawyer's role, engaging actively with all lawyers in the firm and encouraging them to share their own knowhow and expertise with colleagues as openly as possible; embracing a "one team" culture within the Firm's Knowledge community ensuring that all team members create and develop high quality local content while being aligned with our global strategy and approach.

Your clients are the Group's key partners and lawyers. Responsibilities:

Business Development, Planning and Budget

Work with the partners to craft, monitor, and execute the Cairo office BD/marketing plan and budget to support demonstrable growth

Communications and Events

Supervise and manage Conference organization, seminars/webinars, and social events including managing lawyers' events and attendance
Work alongside the firm's regional MENA Comms lead on internal office announcements and external communications including social media and press releases
Share Global/Regional campaigns/reports on the Cairo social media channels, particularly LinkedIn. Work with lawyers and partners to develop and enhance their social media presence
Oversee the Cairo office pages on bakermckenzie.com and other external websites

Skills and Experience:

Role Purpose

To lead the portfolio team in the implementation of integrations required from SuccessFactors to downstream Payroll, Recruiting and Onboarding, and other HR modules.

To manage the portfolio of Technology products for the People Function, focusing on maximizing the value of the portfolio, and achieving the right balance and mix of products, as well as directly supervising the People Product Managers. To bridge the gap of understanding between customer needs, operational needs, and technology capabilities; lead the team and support the business with the technical implementation and support of Recruitment, On-Boarding, Performance and Goals, Learning, and other SuccessFactors or 3rd party modules.

Main Responsibilities

Management of the Product Managers and Application Engineers, including performance management (i.e. annual performance reviews), task assignment/prioritization, leave time approval, and coordination of all follow-the-sun and support activities if required. Providing career development guidance for the team
Management of SuccessFactors technical implementation and product support to include Employee Central, Compensation, Recruitment, On-Boarding modules
Manage projects and teams within budget and timelines
Develop business cases, project estimates, and plans for new system projects within the portfolio, in line with the Technology PMO processes. Prepare and deliver professional communications to various levels of the organization to communicate project objectives, status, risks, and achievement of the expected goals
Implement the portfolio roadmap to centralize, standardize, and optimize all office-based and enterprise applications related to the assigned portfolio
Work with the Product Managers to manage vendors, including analysis of third-party spending
Ensure compliance with our Information Security Management System policies (ISMS) and all other Technology processes related to the effective management of the portfolio and implementation of SuccessFactors and the integrations
Ensure the team follows the Change Management, Release Management, and Technical Change designated processes
Ensure the technical knowledge base, solutions support plans, and relevant technical training are provided to the Service Desk and On-site Support teams as necessary
A main focus for the duration of the contract will be to manage the integration work required for SuccessFactors integrations. This will include:
- Work with the PM, procurement, global security, the enterprise architecture team, HR Talent Management, and Payroll teams (the business) and the vendor to execute the statement of work for each integration
- Collaborate with business analysts, developers, and end-users to gather requirements and translate them into technical solutions
  Collaborate with the People Systems and analytics teams, the HR Talent Management and Payroll teams, and internal technical and vendor teams to ensure security approval, design, map, develop, test, and implement integrations between SAP SuccessFactors and other systems
- Collaborate with the technology business analyst and People Systems and analytics teams as it relates to SuccessFactors Employee Central and where new fields may be required by the downstream system to facilitate integration
- Oversee the testing process. Work with the business, vendor, and QA teams to ensure integration testing and UAT test scenarios, test records, and testing are completed to BM standards
- Work with the business to complete the UAT and gain sign-off from the business for UAT
- Oversee hypercare period and carry out post-integration checks, review error logs, and resolve any issues
- Work with the relevant business, technology, or vendor teams to resolve integration issues promptly
- Co-ordinate with the PM, business, People Systems and analytics, vendor, and technology teams for cutover planning
- Ensure relevant documentation related to integration processes is developed and maintained, including mapping specifications, data flows, and error-handling procedures
- Ensure appropriate monitoring and escalation are in place before ‘Go-Live’ for each integration
- Provide technology support to business teams on integration-related topics
Work with the Service Delivery management team to introduce new processes and practices to develop and improve project delivery performance across all portfolios
Develop and enhance relationships with Technology and Business teams, actively managing expectations & monitoring satisfaction levels
Act as an escalation point for business challenges from a delivery or relationship perspective for the People Team

Role profile

This role is a unique opportunity for a candidate wishing to exercise a broad HR function with a focus on HR projects Management. You will partner with the wider HR team whilst owning and participating in multiple projects for the enhancement of the organization's Employee Value Proposition (EVP).

Key accountabilities:

Recruitment events, onboarding & Offboarding processes

Providing support during the whole recruitment process as well as during recruitments events, participation to job fairs, and contribution to our employer branding strategy
Managing the on-boarding programme for new starters and ensuring offboarding process is efficiently coordinated

Career Management

Contributing to the Talent development agenda and its implementation
Supporting the development, implementation and delivery of a brochure of available trainings
Participating in the analysis of new joiners and exit interviews

HR Communication & Ad hoc projects

Supporting internal and external communication to help develop our employer branding strategy through social media, newsletter, brochures
Building relationships with multiple stakeholders, internal & external
Facilitating ad hoc projects (Alumni directory, mentoring scheme) and duties as and when required

About you

Student with a Master degree in Human Resources and/or in Marketing with a transition to HR function
Experience working in a HR generalist position with an exposure to HR projects/focus on projects management is an asset
Excellent verbal, written skills with high work standards and a sense of excellence
Strong HR administration & communication skills, ability to juggle multiple priorities and projects while maintaining tight schedule in a fast-paced and international environment
Excellent organizational and follow-up skills
Fluency in French & English

Experience and skills required:

Senior Associate level with a minimum of 6 years of experience
Experience in Luxembourg with a preference of experience in a law firm or Big 4

Fluent in French and English, German or Luxemburgish would be an asset;

The Corporate department provides skilled M&A (public and private), capital markets, private equity, projects, reorganizations, and financial services advice, alongside traditional company law, board-level compliance, and corporate governance support, to a wide range of clients, including listed PLCs, financial institutions, and major multinational corporates. Our practice is broad, and much of what we do is cross-border.

The London Corporate team has over 150 fee earners and business professionals and we work across 6 key industry groups: Consumer goods and retail, Energy Mining and infrastructure, Financial Institutions, Healthcare, Industrials, Manufacturing and Transportation, Technology, Media, and Telecoms.

Role Purpose

To lead a best-in-class Graduate Recruitment and Development ("GR&D") team, providing first-class support to the GR&D Partner and Graduate Recruitment panels/stakeholders to deliver a full spectrum of Graduate Recruitment activities. Main Responsibilities

The Team

Day-to-day leadership of the Graduate Recruitment & Development team, providing direction, coaching, and development to 3 Officers, and a coordinator
Build and maintain relationships with key internal and external stakeholders, working very closely with the Graduate Recruitment Partner, the Training Principal, and other key contacts within the business
Lead, influence, and oversee the Firm’s Graduate Recruitment marketing, attraction, and media strategy

Recruitment

Overall responsibility for the First year insight scheme, training contract, and vacation scheme recruitment processes, leading as well as delivery working closely with the GROs
Work closely with the Graduate Recruitment Interview Panel to ensure recruitment best practice and consistent and robust decision-making
Oversee and manage relationships with universities, liaising with career services, law faculties, and key student societies and attending events where required
Oversee the delivery of the annual Graduate Recruitment marketing campaign

Proactively manage trainee performance issues and provide pastoral care to the trainee population throughout their training contract

Candidate Management

About The Candidate

Experience in managing a Graduate Recruitment team, preferably within a legal environment. Able to demonstrate excellent relationship management skills and a sound understanding of recruitment best practice as well as the wider graduate recruitment market. Role Purpose

The successful candidate will provide general day-to-day administration and co-ordination support for the Legal Cashier department.

The role will work as part of a core team of four within the cashiers function.

They will support the team to deliver a high-level service to the firm ensuring we are compliant with the Solicitors Accounts rules, experience in this area will be extremely important to the business due to the risks involved.

They will be trained in our practice management system (SAP) and our Expense and Invoice management platform (Chrome River) in order to understand all the processes.

It is highly desirable that applicants have a genuine interest in the legal sector and a desire to work in a Finance role. Please note these roles are not a direct route to becoming a qualified lawyer at Baker McKenzie.

We are looking for someone who is able to communicate at all levels and develop strong working relationships with internal clients and suppliers. The ability to be organised and demonstrate a highly professional and committed attitude towards their work is crucial. You should also be both proactive and responsive, with strong communication skills.

Main Responsibilities

Offering support to our core functions in our service centres (Manila and Belfast)
Support and cover for the client/office account roles, bank reconciliations and dealing with client money. (SRA guidelines)
Responsible for checking, inputting and paying outside Counsel, Barrister and Professional fees (SRA guidelines)
Processing office account cheque requests
Responsible for monitoring our outside Counsel fee notes and other professional invoices ensuring these have been authorised and posted to SAP in a timely manner
Dealing with multi-currency payments and payment of overseas Counsel fee's (liaison with overseas offices)
Reviewing and approving Office and Client account payments using our online banking platform, SRA guidelines, adhering to rule 2.3 ensuring client money is paid promptly into a client account within 5 working days).
Liasing with IP Tech team and reconciling fixed fee accounts (UKIPO, WIPO & EUIPO)
Chasing of Chrome River unallocated credit card expenditure

The Finance function provides the following services to the Firm:

Supporting strategic decision-making from a financial and business perspective
Managing cash flow, including accounts payable, credit checks, billing and collections
Ensuring Firm-wide purchasing excellent and efficiency

This team is responsible for the day-to-day operations, including billing, collections, cash management & treasury, and client monies. This role involves adhering to the Solicitors Accounts Rules on a daily basis ensuring we are always compliant.

The Role

We are currently looking to recruit a mid-level Wealth Management Associate to join the team. This represents an exciting opportunity for the right individual. The Associate will be pivotal to the continuing success of the London office particularly in relation to cross-border initiatives and transactions for wealthy individuals, family offices, trustees and financial institutions. This Associate will have an important role, working closely with both the senior associates and Partners in the team. Notwithstanding that, and perhaps more importantly, we expect the Associate to have an immediate and managing role directly with our clients and other offices across EMEA and globally.

The role will be complex and wide-ranging, and will involve:

Providing advice to internationally mobile clients, including for foreign nationals and entrepreneurs living and/or investing in the UK, advising on planning structures and undertaking substantial cross-border and tax transactions for high value clients/financial institutions
Developing ongoing relationships with an existing client base as well as develop new contacts
Developing close working relationships with colleagues in overseas offices actively involved in this field including Zurich, Geneva, Hong Kong, Singapore, Miami and New York
Further promoting close working relationships with other departments within the London office including the Litigation, Employee Benefits and broader Tax teams
Taking an active role in the prestigious International Annual Tax and Trust conference held by the firm in London and in other internal and external speaking engagements
Engaging in business development activities and being active in the promotion of the firm and seeking opportunities for new work
Working as part of a team including assisting with the supervision of junior lawyers’ and trainees' work, and taking an active part in sharing knowledge and experience with the team

The Team

The Wealth Management group provides UK and international tax and wealth planning advice to some of the wealthiest individuals in the market, their family offices and leading trust companies and private banks. Wealth Management sits within the firm's wider Tax practice, comprising over 30 partners and 50 associates, and forms part of our cross-disciplinary Alternative Capital practice, which supports family offices and clients with their transactions using private capital.

Our Wealth Management team specialises in advising ultra-high net worth individuals, family offices, trustees and banks on complex cross-border tax and trust related issues, including advising high net worth individuals on strategic tax planning and asset structuring, advising on the establishment of family offices and their running and investments, and advising on pre-litigation strategy and tax investigations.
In particular, the team often advises on legal and tax issues relating to the succession of substantial family owned businesses and the creation of, or legal and tax issues that arise in connection with, wealth holding structures.

The team advises non-UK domiciled individuals, including some who are UK resident and some who are non-UK resident from Europe, the Middle East and globally.

Key Skills and Experience Required

The successful candidate will be able to demonstrate all or the majority of the following:

A qualified wealth management associate/ tax advisor (mid-level lawyer or accountant) with experience of UK tax planning for international and UK UHNW individuals and families and their family offices
Strong experience and detailed knowledge of the taxation of UK resident non-UK domiciliaries and international tax planning
Previous experience at a London firm or a leading regional law firm with a strong specialisation in this field or an accountancy firm
First rate technical skills needed to support the client work of the department
Strong personal skills to develop a client-facing role for a culturally diverse client base
Commerciality and demonstrable business development experience
Excellent written communication and drafting skills
Excellent academic credentials
Ability to work independently
Initiative and proactivity
Maturity and gravitas
Strong service orientation - a "client first" culture
Ability to develop strong relationships with clients and to take responsibility for this relationship
